Terms & Conditions

Effective Date: June 4, 2025

These Terms & Conditions ("Terms") govern your access to and use of the JarvisRetail website, platform, and associated services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and all applicable laws and regulations.

1. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use our Services to engage in any illegal or unauthorized activity, including but not limited to attempting to circumvent identity verification, making fraudulent transactions, or violating regulatory restrictions on controlled products such as cannabis or alcohol.

2. Jarvis Credits and Promotional Ledger

JarvisRetail may offer users promotional credits ("Jarvis Credits") that can be applied toward eligible purchases through participating vending machines or merchant partners.

  • Jarvis Credits are non-redeemable, non-transferable, and have no cash value outside the platform.
  • They may be issued as part of promotional campaigns, loyalty programs, or customer service remedies.
  • They are valid only within the Jarvis ecosystem and cannot be exchanged for fiat currency or digital assets.
  • All credits are reflected in a non-custodial ledger for audit and usage tracking purposes only.
  • JarvisRetail does not hold, manage, or transmit customer funds and is not a money services business or financial institution.
  • Credits may expire based on program-specific rules or applicable law.

By using Jarvis Credits, you acknowledge that they are promotional in nature, not legally equivalent to money or stored value, and do not create any right to redemption or reimbursement from JarvisRetail or its affiliates.

3. Digital Asset Wallets (If Applicable)

In select jurisdictions, JarvisRetail may support the use of digital assets such as stablecoins (e.g., USDC or state-issued tokens) for transactions. These digital wallets are provisioned through regulated third-party custodians. JarvisRetail does not custody crypto assets on behalf of users and disclaims liability for third-party custody performance. Use of digital wallets is subject to all applicable KYC/AML and regulatory compliance requirements.

4. Identity Verification

You may be required to verify your identity or age before completing purchases, particularly where restricted products (such as cannabis or alcohol) are involved. Verification methods may include government-issued ID scanning and biometric matching. We retain only the minimum data necessary to fulfill legal obligations and do not store biometric data long-term.

5. Intellectual Property

All content, trademarks, service marks, source code, and related materials are the property of JarvisRetail or its licensors. You may not copy, modify, reverse-engineer, distribute, or otherwise use our materials without prior written consent.

6. User Conduct

  • Do not use automated systems to access the site or Services without authorization;
  • Do not interfere with the security, performance, or accessibility of the Services;
  • Do not violate the privacy, safety, or rights of other users.

7. Transactions and Refunds

All transactions are final upon confirmation at the point of sale. In the case of vending machine error or service disruption, users may contact support to request a review. JarvisRetail may, at its sole discretion, issue platform credit as a remedy. Refunds to original payment methods are not guaranteed and are subject to partner bank or processor terms.

8. Limitation of Liability

JarvisRetail shall not be liable for indirect, incidental, punitive, or consequential damages arising from the use of or inability to use our Services. Our liability shall be limited to the value of credits associated with your most recent transaction, where permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless JarvisRetail, its officers, employees, partners, and affiliates from any claims, liabilities, or damages arising from your use of the Services or your breach of these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall be resolved in the state or federal courts located in California.
